Terms of Service

Welcome to Katalyst! These Terms of Service ("Terms") govern your access to and use of the Katalyst trading journal platform, website, and services (collectively, the "Service") operated by Katapult Media, Inc. ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Platform Description

Katalyst is a trading journal and analytics platform that provides tools for traders to track, analyze, and improve their trading performance. The Service includes:

• Trade tracking and import from 11+ supported brokers
• Advanced analytics, dashboards, and performance metrics
• Journal entries and trade annotations
• Pivot grid analysis and custom tag management
• Simulators and planning tools (compound planner, trading plan workbook)
• Trading groups for collaboration, shared trades, and discussion
• Calendar view and trade history
• Direct broker API connections for automatic trade synchronization (currently supporting Rithmic)

Important: Katalyst is an informational and organizational tool only. The Service does not provide financial advice, investment recommendations, or trading signals. All trading decisions are your own and made at your own risk.

2. Not Financial Advice

Nothing on the Service constitutes financial, investment, tax, or legal advice. The analytics, statistics, and visualizations provided by Katalyst are for informational and educational purposes only. You should:

• Not rely solely on Katalyst analytics to make trading decisions
• Consult with qualified financial professionals before making investment decisions
• Understand that past trading performance does not guarantee future results
• Acknowledge that trading involves substantial risk of loss

We are not a registered broker-dealer, investment adviser, or financial planner. We do not manage investments or execute trades on your behalf.

3. User Accounts & Eligibility

Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use Katalyst. By creating an account, you represent and warrant that you meet this age requirement.

Account Registration: To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security: You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraud, or illegal activity.

4. Subscription Plans & Payments

Plans: Katalyst offers multiple subscription tiers (including Free, Pro, and Platinum plans). Each tier provides different features and limits as described on our pricing page.

Billing: Paid subscriptions are billed monthly through our payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method. Subscription fees are charged at the beginning of each billing period.

Price Changes: We may change subscription pricing at any time. We will provide at least 30 days notice before price changes take effect for existing subscribers. Continued use after a price change constitutes acceptance.

Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the Free plan.

Refund Policy: Subscription payments are generally non-refundable. Refund requests will be considered on a case-by-case basis at our sole discretion. If we determine that a refund is warranted, it will be processed through the original payment method.

Free Plan: The Free plan provides limited access to the Service. Free plan users may be subject to restrictions on trade limits, analytics, and other features as described on our pricing page.

5. User Conduct & Acceptable Use

You agree to use Katalyst only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Engage in fraud, deception, or misrepresentation
• Harass, abuse, threaten, or intimidate other users, including within trading groups
• Post or share harmful, offensive, or objectionable content in groups, posts, or files
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or servers
• Use automated means (bots, scrapers) to access the Service
• Circumvent any security or access controls, usage limits, or subscription restrictions
• Impersonate any person or entity
• Upload malicious files or content to trading groups
• Use the Service to distribute financial scams, pump-and-dump schemes, or misleading trading signals

Consequences: Violations may result in warnings, suspension, or permanent termination of your account and may be reported to appropriate authorities.

6. Trading Groups

Group Owners: Users who create trading groups are responsible for:

• Managing their group and members appropriately
• Setting and enforcing group rules
• Ensuring content shared within the group complies with these Terms
• Managing group invitations and member access

Members: Users who join groups agree to:

• Abide by rules set by the group owner
• Participate honestly and in good faith
• Respect other members and their shared content

Shared Content: When you share trades, posts, files, or other content within a group, other group members can view that content. You are responsible for what you share. Do not share sensitive personal information, account credentials, or proprietary trading strategies you do not wish others to see.

Disputes: Katalyst provides the organizational tools only. Any disputes between group members are solely between those members. We are not responsible for resolving disputes between users and will not mediate or arbitrate such matters.

7. Trade Data & Imports

Data Accuracy: You are responsible for the accuracy of trade data you import or enter into Katalyst. We process broker CSV files and other import formats as provided, but we do not guarantee the accuracy of imported data. You should verify imported trades against your broker statements.

Data Ownership: You retain ownership of your trading data. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

Analytics Accuracy: While we strive for accurate analytics and calculations, the Service may contain errors or inaccuracies. Analytics are provided "as is" and should not be the sole basis for trading decisions.

Broker Compatibility: We support imports from multiple brokers, but broker export formats may change without notice. We do not guarantee uninterrupted compatibility with any specific broker.

Broker API Connections: You may optionally connect your brokerage account (e.g., Rithmic) to automatically sync trades. By connecting, you:

• Authorize Katalyst to store your encrypted broker credentials and use them to authenticate with the broker's API on your behalf
• Acknowledge that you are responsible for maintaining the security of your broker account and for any activity that occurs through the connection
• Agree that you have authority to connect the broker account and that connecting does not violate your broker's terms of service
• Understand that Katalyst retrieves trade execution data only — we do not place, modify, or cancel orders through your broker account
• Accept that broker API availability, data accuracy, and connection reliability are outside our control

You may disconnect your broker at any time, which permanently deletes your stored credentials from our systems. Disconnecting does not affect trades already imported into Katalyst.

Third-Party Broker Terms: Connected brokers (such as Rithmic) are independent third-party services with their own terms of service, privacy policies, and user agreements. Your use of broker API connections is subject to both these Terms and the broker's own terms. It is your responsibility to review and comply with your broker's terms. Before connecting via API, you must complete any required agreements directly with your broker (e.g., signing Rithmic's R|Trader agreements). Katalyst is not a party to your agreement with your broker and bears no responsibility for the broker's services, actions, or policies.

8. Intellectual Property

Platform Ownership: Katalyst and all related trademarks, service marks, logos, graphics, and content are the property of Katapult Media, Inc. or its licensors. You may not use, copy, or distribute any of our intellectual property without prior written consent.

User Content: You retain ownership of content you create (such as journal entries, trade notes, group posts, and uploaded files). By posting content, you grant us a non-exclusive, royalty-free license to use, display, and distribute that content in connection with operating the Service.

DMCA: We respect intellectual property rights and will respond to valid takedown notices in accordance with the Digital Millennium Copyright Act. To report infringement, contact legal@katapultmedia.com.

9. Disclaimers & Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We are not responsible for any losses or damages arising from:

• Service interruptions or unavailability
• Errors, bugs, or inaccuracies in analytics, calculations, or data processing
• Loss of trading data or content
• Trading losses incurred based on analytics or information provided by the Service
• Disputes between group members
• Actions of third parties, including broker import format changes
• Failures, delays, or errors in broker API connections, including authentication failures, data retrieval errors, or service outages at the broker
• Inaccurate or incomplete trade data received from broker APIs
• Unauthorized access to your broker account resulting from your failure to secure your Katalyst account credentials
• Your violation of applicable laws

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATAPULT MEDIA, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification: You agree to indemnify, defend, and hold harmless Katapult Media, Inc. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

10. Modifications & Termination

Changes to Terms: We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Effective Date." Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Service Changes: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

Termination: You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.

Data Retention: Upon account termination, we may retain certain information as required by law or for legitimate business purposes. See our Privacy Policy for details.

11. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for claims within that court's jurisdiction.

12. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Katapult Media, Inc. regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
